1. Introduction and Acceptance of Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,”
or “your”) and [Jaeno Technologies / Legal Entity Name] (“Jaeno,” “we,” “us,” or “our”), governing your
access to and use of the Jaeno platform, including any associated websites, mobile applications, application
programming interfaces, and any other features, tools, or functionality made available by Jaeno from time to
time (collectively, the “Platform”).
By accessing, downloading, installing, registering for, or otherwise using the Platform in any manner, you
acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any other
operating rules, policies, and procedures that may be published by us from time to time. If you do not agree
to these Terms, you must not access or use the Platform.
We reserve the right to amend, modify, update, or replace these Terms at any time, in our sole discretion,
with or without prior notice. Continued use of the Platform following any such change constitutes your
acceptance of the revised Terms
2. Definition
For the purposes of these Terms, the following terms shall have the meanings set out below, unless the
context otherwise requires:
“Platform” means the Jaeno application, website, and any related digital infrastructure through
which users may interact with one another and with third-party businesses.
“User” means any individual or entity that accesses or uses the Platform in any capacity, including
end-users, business owners, vendors, and their respective representatives.
“Business Account” / “Vendor” means a User that registers a business profile on the Platform for
the purpose of communicating or interacting with other Users.
“AI Assistant” means any automated, artificial-intelligence-based or algorithmically-driven feature,
agent, or functionality made available on the Platform, whether configured by a Vendor, by Jaeno, or
by any other party.
“Content” means any text, data, communication, configuration, or other material submitted,
generated, transmitted, or made available through the Platform by any party.
“Services” means, broadly and without limitation, the functionality, features, tools, and capabilities
that Jaeno may make available through the Platform from time to time, as further described, varied,
expanded, or restricted at Jaeno’s sole discretion.
3. Description of the Platform
Jaeno operates a digital platform that is generally intended to facilitate communication and interaction
between Users, including individuals and businesses, through various features that may be made available
from time to time. The exact nature, scope, configuration, and availability of any feature, tool, or functionality
on the Platform may vary by region, account type, Vendor configuration, or over time, and is subject to
change at our sole discretion without prior notice.
Jaeno acts solely as a technology platform and communication intermediary. Nothing in these Terms or
elsewhere on the Platform shall be construed as a representation, warranty, or guarantee by Jaeno
regarding the availability, accuracy, quality, suitability, or outcome of any specific feature, transaction, order,
booking, appointment, payment, or interaction facilitated through the Platform.
We reserve the right, at any time and without liability, to add, remove, suspend, modify, restrict, or
discontinue any aspect, feature, or functionality of the Platform, in whole or in part, whether temporarily or
permanently, with or without notice.
4. Eligibility
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, and possess
the legal capacity to enter into a binding agreement in order to use the Platform. By using the Platform, you
represent and warrant that you meet these requirements.
We reserve the right to refuse access to, or use of, the Platform to any person or entity at our sole discretion,
for any reason or no reason, including but not limited to suspected violation of these Terms or applicable
law
5. User Accounts and Registration
Certain features of the Platform may require you to create an account and provide accurate, current, and
complete information. You are solely responsible for maintaining the confidentiality of your account
credentials and for all activity that occurs under your account, whether or not authorized by you.
You agree to notify us promptly of any unauthorized use of your account or any other breach of security.
Jaeno shall not be liable for any loss or damage arising from your failure to comply with this section.
6. User Obligations and Acceptable Use
By using the Platform, you agree that you shall not:
- Use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose
- Misrepresent your identity, affiliation, or the nature of any business registered on the Platform
- Attempt to gain unauthorized access to any portion of the Platform, other accounts, or systems
- Interfere with, disrupt, or place an undue burden on the Platform’s infrastructure
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Platform or any
underlying technology, including any AI Assistant - Use any automated means, including bots or scrapers, to access the Platform without express
written permission - Upload or transmit any content that is unlawful, defamatory, infringing, or harmful
- Use the Platform in any manner that could damage, disable, or impair Jaeno or any other party
7. Vendor and Business Account Responsibilities
Any User who registers a Business Account or otherwise configures a business presence on the Platform (a
“Vendor”) does so as an independent entity, fully and solely responsible for its own products, services,
pricing, policies, fulfilment, and all communications made available to other Users, including through any AI
Assistant configured for its account.
Jaeno does not own, operate, control, supervise, or take responsibility for any product, service,
appointment, order, transaction, delivery, pickup arrangement, or any other undertaking offered, advertised,
or performed by a Vendor. All such matters are exclusively between the Vendor and the relevant User(s),
and Jaeno is not a party to any such arrangement.
Vendors are solely responsible for ensuring that their use of the Platform, including any configuration of an
AI Assistant, complies with all applicable laws, regulations, and third-party rights, and for the accuracy and
lawfulness of any information or content they make available through the Platform
8. AI Assistant and Automated Features Disclaimer
The Platform may incorporate artificial intelligence, automated, or algorithmically-driven features, including
AI Assistants that may be configured, trained, or customized by Vendors or by other parties. Such features
are provided on an “as available” basis, and Jaeno makes no representation or warranty as to the accuracy,
completeness, reliability, or appropriateness of any output, response, recommendation, or communication
generated by any AI Assistant or other automated feature.
You acknowledge that any AI Assistant may be configured independently by a Vendor, and that Jaeno does
not control, endorse, or guarantee the content, conduct, or outcome of any interaction between you and any
AI Assistant. You should exercise independent judgment before relying on any information, offer,
confirmation, or communication received through such features
9. Payments, Fees, and Transactions
Where the Platform facilitates the display, request, or processing of payments between Users, such
functionality is provided solely as a convenience. Jaeno may, at its discretion, use third-party payment
processors and shall not be liable for any error, delay, failure, chargeback, or dispute arising from any
payment transaction.
Any fees, charges, commissions, or subscription amounts applicable to the use of the Platform, if any, will
be communicated separately and may be modified by Jaeno from time to time, with or without prior notice, to
the extent permitted by applicable law.
All sales, refunds, cancellations, and related matters concerning a specific transaction between a User and a
Vendor are governed by the policies of the relevant Vendor, and not by Jaeno, except where Jaeno
expressly states otherwise in writing.
10. Intellectual Property Rights
All rights, title, and interest in and to the Platform, including but not limited to its software, design, logos,
trademarks (including the name “Jaeno”), graphics, and underlying technology, are and shall remain the
exclusive property of Jaeno and its licensors. Nothing in these Terms shall be construed as granting any
license or right to use any such intellectual property except as expressly permitted herein.
Subject to your compliance with these Terms, Jaeno grants you a limited, non-exclusive, non-transferable,
revocable license to access and use the Platform solely for its intended purpose. Any other use is strictly
prohibited without our prior written consent.
11. Third-Party Services and Links
The Platform may contain links to, or integrate with, third-party websites, services, payment gateways, or
content not owned or controlled by Jaeno. We do not endorse and are not responsible for the content,
policies, or practices of any third party. Your interactions with any third-party service are solely between you
and that third party
12. Disclaimer of Warranties
THE PLATFORM AND ALL ASSOCIATED CONTENT, FEATURES, AND FUNCTIONALITY ARE
PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND,
WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
JAENO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE,
ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED, NOR DOES IT WARRANT THE
ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, COMMUNICATION, OR
OUTCOME FACILITATED THROUGH THE PLATFORM, INCLUDING ANY ARISING FROM AN AI
ASSISTANT OR THIRD-PARTY VENDOR.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JAENO, ITS
AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY
LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT
OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE
PLATFORM, REGARDLESS OF THE LEGAL THEORY ON WHICH SUCH CLAIM IS BASED, AND EVEN
IF JAENO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, THE AGGREGATE LIABILITY OF JAENO ARISING OUT OF OR RELATED TO THESE
TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE
AMOUNT, IF ANY, PAID BY YOU TO JAENO DIRECTLY IN THE TWELVE (12) MONTHS PRECEDING
THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD
100)
14. Indemnification
You agree to defend, indemnify, and hold harmless Jaeno and its affiliates, officers, directors, employees,
and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable
legal fees, arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your
violation of these Terms; (c) your violation of any third-party right, including without limitation any intellectual
property, privacy, or proprietary right; or (d) any Content or business activity you submit, transmit, or make
available through the Platform.
15. Suspension and Termination
We may suspend or terminate your access to the Platform, in whole or in part, at any time, with or without
notice, and with or without cause, including for any actual or suspected violation of these Terms. Upon
termination, your right to use the Platform shall immediately cease, and any provisions of these Terms which
by their nature should survive termination shall continue to apply.
You may discontinue use of the Platform at any time. Any obligations accrued prior to termination shall
survive such termination.
16. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and
disclose information about you. By using the Platform, you consent to such collection, use, and disclosure in
accordance with the Privacy Policy.
17. Modifications to the Platform and These Terms
Jaeno reserves the right to modify, suspend, or discontinue the Platform, or any part thereof, at any time,
with or without notice. Jaeno also reserves the right to amend these Terms at any time. Any such
amendments shall be effective upon posting, and your continued use of the Platform thereafter constitutes
acceptance of the amended Terms. It is your responsibility to review these Terms periodically
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction to be
specified], without regard to its conflict of law provisions. Any dispute arising out of or relating to these
Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in [Jurisdiction to be

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of the
Platform, the parties shall first attempt to resolve the matter informally by contacting Jaeno through the
channels described in Section 21. If the dispute cannot be resolved informally within a reasonable period,either party may pursue any remedy available under applicable law, subject to Section 18 above
20. General Provisions
- Entire Agreement: These Terms, together with any other legal notices and agreements published
by Jaeno on the Platform, constitute the entire agreement between you and Jaeno concerning the
Platform. - Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision
shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall
remain in full force and effect - No Waiver: The failure of Jaeno to enforce any right or provision of these Terms shall not constitute
a waiver of such right or provision. - Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without
Jaeno’s prior written consent. Jaeno may assign these Terms without restriction. - Force Majeure: Jaeno shall not be liable for any failure or delay in performance resulting from
causes beyond its reasonable control
